1. The purpose of this presentation is to discuss what I think is a blind spot in many trustee’s conflicts management frameworks – the process of identifying and determining what interests and duties that a responsible person are relevant.
2. The blind spot arises from our various reviews of trustee conflicts frameworks, over the past decade, since APRA Prudential Standard SPS 521 Conflicts of Interest came into effect.
3. The presentation will look at:
A) The relationship of conflicts to the various requirements under SIS;
B) The stickiness of conflicts breaches to the reverse burden of proof under SIS, section 220A
C) The process of onboarding new responsible persons and the ultimate decision made as to the disclosure of interests and duties and relevant interests and duties, and the confusion that the APRA Standard creates in this process; and
D) The risks of objective versus subjective assessments by trustees and responsible persons.
